Job Overview
The Role
As Senior Legal Counsel, you will provide broad legal support across Grove Labs initiatives, spanning live transactions and general corporate matters. Working closely with the General Counsel, you will have exposure to a wide range of legal matters and increasing responsibility for managing matters independently. On the transaction side, you will work directly with our finance and operations teams from term sheet through closing and post-closing administration. Beyond transactions, you will support corporate governance, commercial contracting, and the day-to-day legal needs of a growing multi-entity group, helping shape the legal frameworks that make onchain finance work.
Responsibilities
Transaction due diligence and legal structuring across multiple jurisdictions, including the establishment of transaction vehicles, counterparty review, and analysis of fiat and stablecoin flows
End-to-end transaction management, including preparation of term sheets and financing agreements, negotiation of commercial and legal positions, and management of closing processes, conditions precedent, and disbursements
Drafting, reviewing, and negotiating financing documents and commercial agreements, and managing external and local counsel
Advising on the creation and perfection of security interests, bankruptcy remoteness, and regulatory and tax considerations, including identifying and mitigating transaction risks
Corporate governance and entity management across a multi-jurisdictional group, including board resolutions, corporate approvals, and secretarial matters
Developing internal policies, supporting compliance matters, and advising internal teams on day-to-day legal matters as the business scales

Requirements
Qualified lawyer admitted to practice in a recognized jurisdiction
4+ years of post-qualification experience in BigLaw, a comparable in-house role, or a combination of both
Transactional background in one or more of finance, securitization, project finance, structured finance, capital markets, corporate/M&A, or tax
Comfortable operating as a generalist, with an interest in working across transactions, corporate governance, commercial contracts, and day-to-day legal matters
Experience managing transactions and negotiating with sophisticated counterparties
Strong drafting skills and experience working with and managing external counsel
Excellent written and verbal communication skills
Bonus: experience in digital assets, DeFi, or other blockchain-based financial products
